MUTUAL NON-DISCLOSURE AGREEMENT

This Agreement is entered into as of August 19, 2026, between [Party A] and [Party B] (together, the "Parties"), for the purpose of evaluating a potential business relationship.

1. CONFIDENTIAL INFORMATION
Each Party may disclose confidential business, technical, or financial information to the other. All such information disclosed, whether orally or in writing, that is designated as confidential or would reasonably be understood to be confidential, is "Confidential Information."

2. OBLIGATIONS
Each Party agrees to: (a) hold the other's Confidential Information in strict confidence, (b) not disclose it to third parties, and (c) use it only for the stated purpose above.

3. TERM
This Agreement remains in effect for 2 years from the date above.

4. EXCLUSIONS
Confidential Information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.
